Article 1 – Definitions
- Foundation: Stichting Focus on the Equine Spine, located in Woerden, The Netherlands,
registered with the Dutch Chamber of Commerce under number 72406798. - Customer: the natural person or legal entity acting in the course of a business or professional practice that enters into a subscription agreement via the Foundation’s webshop.
- Subscription: the right to access digital content and/or services for a predefined period.
- Agreement: the agreement between the Foundation and the Customer relating to a subscription.
Article 2 – Applicability
- These Terms and Conditions apply to all offers, orders and agreements concluded via the webshop of the Foundation.
- Deviations from these Terms and Conditions are only valid if agreed upon in writing.
- The applicability of any general terms and conditions of the Customer is expressly excluded.
Article 3 – Subscriptions and access
- The Foundation exclusively offers digital subscriptions.
- A subscription grants the Customer access to the content included in the subscription for the agreed subscription period.
- Access to the subscription is personal and non-transferable.
- The Foundation reserves the right to modify or update the content of a subscription.
Article 4 – Prices
- All prices are stated in euros and exclude VAT, unless stated otherwise.
- The Foundation reserves the right to change its prices. Price changes do not affect ongoing subscription periods.
- Any price changes will be communicated prior to the start of a new subscription period.
Article 4a – VAT and taxation
Subscriptions and services offered by the Foundation are supplied exclusively to business customers.
VAT is charged in accordance with applicable Dutch and European VAT legislation:
- For Customers established in the Netherlands, Dutch VAT is charged at the applicable rate.
- For Customers established in another EU Member State, VAT is reverse-charged to the Customer, provided a valid VAT identification number is supplied.
- For Customers established outside the European Union, no VAT is charged, as the services fall outside the scope of EU VAT.
The Customer is responsible for providing correct company and VAT information. If incorrect or incomplete information is provided, the Foundation reserves the right to charge VAT retrospectively where required by law.
Article 5 – Payment
- The Customer pays the subscription fee in advance using the payment methods offered in the webshop.
- Access to the subscription will only be granted after successful payment.
- If a payment fails or is reversed, the Foundation is entitled to immediately suspend or terminate access to the subscription.
Article 6 – Duration and renewal
- Subscriptions are entered into for the term stated in the webshop.
- A subscription entered into for a fixed period will be automatically renewed for the same duration as the original
subscription period, unless the Customer cancels the subscription before the end of the current term. - Cancellation may be made via the Customer’s account or by e-mail.
Article 7 – Termination
- The Foundation is entitled to terminate the subscription with immediate effect if the Customer acts in violation of these Terms and Conditions.
- In the event of termination, the Customer is not entitled to a refund of any amounts already paid.
Article 8 – Right of withdrawal for digital content
- For digital content that is made available immediately after payment, the Customer expressly waives the right of withdrawal, insofar as permitted by law.
- By entering into the subscription, the Customer consents to the immediate delivery of the digital content.
Article 9 – Intellectual property
- All intellectual property rights relating to the content provided under the subscription are vested in the Foundation.
- The Customer is not permitted to reproduce, publish or make the content available to third parties without the prior written consent of the Foundation.
Article 10 – Liability
- The Foundation is only liable for direct damage resulting from an attributable failure in the performance of the Agreement.
- Any liability of the Foundation is limited to the amount paid by the Customer for the relevant subscription.
- The Foundation shall not be liable for indirect damage, including consequential damage or loss of profit.
Article 11 – Force majeure
- The Foundation shall not be obliged to fulfil any obligation if it is prevented from doing so as a result of force majeure.
- Force majeure includes, but is not limited to, disruptions in internet services, software, hosting services or other technical facilities.
Article 12 – Amendment of the Terms and Conditions
- The Foundation reserves the right to amend these Terms and Conditions.
- The most recent version of the Terms and Conditions will always be available on the website.
Article 13 – Applicable law and disputes
- These Terms and Conditions are governed by Dutch law.
- Any disputes shall be submitted to the competent court in the district where the Foundation is established.
